Terms of Service

SetWheels is a service operated by Kay Rentals LLC, a California limited liability company ("SetWheels," "we," "us"). "SetWheels" is a fictitious business name (DBA) used by Kay Rentals LLC to operate this platform. These Terms of Service ("Terms") govern your use of the SetWheels website and services. By creating an account or using SetWheels, you agree to these Terms.

1. What SetWheels is

SetWheels is a neutral online marketplace and matching service that connects vehicle owners ("Owners") with bookers ("Bookers") who need a vehicle — with its owner driving — for a film/TV production, photo shoot, commercial, wedding, prom, anniversary, or other private event. SetWheels is not a car rental company, is not an employer or agent of Owners or Bookers, is not an insurer, and is not a party to any agreement made between an Owner and a Booker. SetWheels facilitates introductions, booking requests, messaging, and collects its own service fee — it does not operate, possess, or control any listed vehicle.

2. No possession transfer — strict no-driving prohibition

This section is the core of how SetWheels works. Read it carefully.

• Bookers are strictly prohibited from driving, operating, or taking physical possession of the Owner's vehicle at any time, for any reason.
• The Owner retains full possession, custody, and control of the vehicle at all times during a booking, including transporting the vehicle to and from the location. Keys are never handed over.
• This restriction exists because Bookers are not covered under the Owner's vehicle insurance policy. SetWheels does not verify, provide, or extend any insurance coverage for a Booker to operate the vehicle.
• Any incident, damage, injury, citation, or loss arising from a Booker driving or operating the vehicle in violation of this policy is solely the responsibility of the parties involved. SetWheels bears no liability for such incidents and disclaims all responsibility for unauthorized use of the vehicle outside these Terms.

3. Owner eligibility requirements to list a vehicle

Before listing a vehicle on SetWheels, an Owner must:

• Hold a valid, current driver's license for the class of vehicle listed.
• Provide proof of current vehicle registration in their own name, or documented authorization to list the vehicle if they are not the registered owner.
• Carry valid auto insurance meeting at least their state's minimum legal requirements.

SetWheels reserves the right to request and verify this documentation before approving a listing, and to remove a listing or suspend an account if documentation is missing, expired, or found to be fraudulent. 4. Eligibility to use SetWheels

You must be at least 18 years old and able to form a binding contract to use SetWheels. Owners must meet the requirements in Section 3 to list a vehicle.

5. Digital booking agreement

Each booking generates a digital agreement summarizing the date, time, location, agreed use restrictions, and the identities of both parties. It restates the no-driving policy in Section 2 and includes a mutual liability disclaimer. Both parties must affirmatively accept this agreement — and separately acknowledge the insurance disclosure in Section 6 — before a booking is confirmed; acceptance is timestamped and stored.

6. Insurance

SetWheels does not provide insurance coverage of any kind for Owners, Bookers, vehicles, or bookings made through the platform. Owners must maintain their own valid auto insurance as described in Section 3. Bookers are strongly encouraged to maintain their own production or general liability insurance. Both parties acknowledge this disclosure as part of every booking.

7. Fees and payments

SetWheels charges a platform/service fee, disclosed at the time of booking, to match Owners and Bookers. This fee is non-refundable once a booking is confirmed, except as described in our Cancellation & Refund Policy. Unless otherwise disclosed on the platform, payment for a vehicle's use is arranged and paid directly between the Owner and the Booker, separate from SetWheels' service fee.

8. User responsibilities

Owners are solely responsible for maintaining their own vehicle insurance, valid registration, and for safely operating their vehicle at all times. Bookers are solely responsible for providing accurate shoot/event details and for safe conduct at the booking location.

9. No employment relationship

Owners are independent users of the platform. Nothing in these Terms creates an employment, agency, partnership, or joint-venture relationship between an Owner and SetWheels. See our Independent Contractor / Marketplace Disclosure for detail.

10. Prohibited uses

You may not use SetWheels to:

• Engage in any illegal activity;
• Arrange an unlicensed commercial vehicle rental in violation of the no-driving policy in Section 2;
• Circumvent the platform to avoid SetWheels' service fee after a match was made through SetWheels; or
• Upload false, fraudulent, or expired eligibility or verification documentation.

11. Limitation of liability

To the fullest extent permitted by law, SetWheels' total liability arising out of or relating to these Terms or your use of SetWheels is limited to the amount of the platform fee you paid in the booking giving rise to the claim. SetWheels disclaims all liability for property damage, personal injury, or other losses arising from a booking made through the platform, including any dispute arising from the in-person booking itself.

12. Indemnification

You agree to indemnify, defend, and hold harmless SetWheels (Kay Rentals LLC), its officers, and employees from any claim, damage, loss, or expense (including reasonable attorneys' fees) arising out of your use of the platform, your breach of these Terms, or your conduct at a booking.

13. Dispute resolution

Before filing any formal claim, you agree to first attempt to resolve any dispute informally by contacting us at support@setwheels.app. Any dispute that cannot be resolved informally will be settled by binding individual arbitration, except where prohibited by law. These Terms are governed by the laws of the State of California, where Kay Rentals LLC is formed, without regard to conflict-of-law principles — regardless of the state you access SetWheels from.

14. Termination

SetWheels may suspend or terminate your account at any time for violation of these Terms, suspected fraud, or safety concerns.

15. Changes to these Terms

We may update these Terms from time to time. Material changes will be communicated by email and an in-app notice, and take effect 30 days after posting. Continuing to use SetWheels after that date constitutes acceptance of the updated Terms.
